These terms and conditions are designed to inform you of your rights and obligations arising from your use of the services provided by Badir Company.

Badir Company is an Egyptian company responsible for managing an e-commerce platform consisting of the Badir Company website (“the site”) and the Badir Company application (“the electronic application” or “the application”) (collectively referred to as “the electronic platform”), specializing in the sale and distribution of furniture, particularly Lazy Boy recliners, within the Arab Republic of Egypt.

These terms and conditions (“Site Terms and Conditions” or “the terms”) and the privacy policy (“Privacy Policy”) included on the site, which outlines how Badir Company (“Badir Company,” “we,” or “first-person pronoun”) collects and processes personal data of users (“the user,” “you,” or “second-person pronoun”) that you have shared with us when you access and use Badir Company’s services (“the services”).

By clicking the “I Agree” button, you acknowledge and undertake (a) that you have read and understood the terms and conditions of the site and our privacy policy, (b) that you agree and commit to adhere to these terms, which represent the terms of a binding agreement between you and Badir Company, and (c) that you agree to grant Badir Company the right to share your personal data registered in your account on the site with third parties in accordance with the applicable privacy policy at Badir Company.

Badir Company reserves the right to modify, change, add, or delete these terms, or any of its provisions or characteristics, in whole or in part at any time at its sole discretion. We may also amend the terms and conditions in response to any updates or changes in applicable laws and regulations, without any obligation on our part to notify you or obtain your prior consent, with the modification taking effect immediately upon publication of the revised version on the electronic platform. Therefore, your access and use of Badir Company’s services after the update is considered your acceptance and acknowledgment of your commitment to the terms and conditions in their amended version.

Badir Company reserves the right to suspend or terminate your access to the electronic platform and your use of Badir Company’s services, either temporarily or permanently, or to delete your registered account on the site or restrict your access and use of any of our services if you engage in any act that (at our discretion) violates or breaches any of these terms, without any liability on Badir Company towards you or any other person as a result of this suspension or deletion.

Eligibility to Create an Account:

You must create an account on our site, and you must be over eighteen years old and a resident of the Arab Republic of Egypt. If you are not yet eighteen and wish to use any of our services, you may enlist the help of a parent or legal guardian to make a purchase on your behalf.

If you are creating the account on behalf of any legal entity, your acceptance of these terms signifies your legal capacity to represent that legal entity. In this case, your acceptance of these terms means that this legal entity acknowledges and agrees to adhere to these terms and not violate them and that it has obtained all necessary licenses and permits to conduct its activity within the Arab Republic of Egypt. If you do not agree to adhere to these terms or are not legally qualified to represent the legal entity for which you are creating an account, you cannot use any of our services.

When you create an account on the Badir Company site, you will need to disclose some personal information, including but not limited to your name, phone number, and email address. You will also need to choose a username and password for your account (“Registration Data”).

You acknowledge and undertake that the registration data you have entered to create your account is correct, accurate, complete, and up to date, and that it will remain so at all times. If you disclose inaccurate, incorrect, outdated, or non-compliant data with these terms and conditions, Badir Company has the full right to suspend, restrict, or cancel your membership or restrict your access to our site and the use of our services, without prejudice to Badir Company’s other rights and remedies to recover its rights.

You agree to indemnify Badir Company for any losses, damages, costs, or expenses incurred as a result of your input of false, incorrect, inaccurate, or outdated registration data.

You acknowledge that you will not use a fake and/or incorrect name or register any false accounts or attempt to impersonate any person or another user, as such actions would violate the applicable laws and regulations. In this case, Badir Company reserves the right to suspend or delete your account or prevent you from accessing the electronic platform and/or benefiting from our services, without prejudice to Badir Company’s other rights, including but not limited to taking any legal action against you or resorting to courts and seeking damages.

Login Credentials

When you create an account on the electronic platform, you must maintain the confidentiality of your username and password (“Login Credentials”) and not disclose them to anyone not authorized to act on your behalf. You will be responsible to Badir Company for any activities conducted on your account, whether by you or by others, even if the other person was not authorized by you to access your account or use it. If you have any reason to believe that your account credentials have been compromised, you must notify us immediately to take the necessary actions. You acknowledge and undertake that Badir Company is not liable in any way for any losses incurred by you directly or indirectly as a result of any breach of your account or personal data. You also acknowledge and undertake to indemnify Badir Company for any damages or losses incurred by you as a result of the breach of confidentiality of your account or login data and/or any unauthorized, illegal, or fictitious use of your account by others.

Please note that you cannot use another user’s account without the account holder’s consent and without explicit authorization from them. You also cannot transfer your account to another person without prior written consent from Badir Company, and finally, you cannot create more than one account for any reason, otherwise, Badir Company has the right to freeze both accounts or cancel one of them, provided that all financial transactions made on the account are settled before its closure.

You agree to provide Badir Company, when requested from time to time, with any original and updated data, information, or certificates that would prove your identity or the identity of the legal entity you represent or that this legal entity has obtained all necessary licenses and permits to conduct its activity within the Arab Republic of Egypt. If you refuse to provide these documents, Badir Company has the right to suspend and/or delete your account and/or restrict your access to and use of our services.

Badir Company has the right to delete or cancel any accounts that are unverified or have become inactive or have had no transactions for a long period.

If you comply with and act in accordance with the terms and conditions of the site and create and register an account, Badir Company will grant you a limited, non-exclusive, non-transferable, and revocable license to access the electronic platform and benefit from our services for personal, non-commercial purposes only, provided that this license is restricted and conditioned on your compliance with and not violating any of the provisions of the terms and conditions.

Electronic Communications:

When you create an account on our site, you agree to receive promotional messages to your email or mobile phone to notify you of any changes, actions, promotional activities, or new offers or discounts added to the site. You have the right to unsubscribe from this feature at any time by clicking the link at the bottom of each message.

You also acknowledge that you agree to be contacted via email or through promotional advertisements on the site and that you agree that all agreements, advertisements, data, and other communications provided to you electronically shall substitute for their written counterparts in fulfilling legal obligations.

Badir Company’s Responsibility for Products Displayed on the Site:

You fully understand that Badir Company is an electronic platform that enables you to browse and purchase products offered by our sellers through our site or mobile application. While we accept the sale process and collect the product price on behalf of the seller, we do not consider ourselves a party to the contractual relationship that exists solely between you and the seller. Therefore, the product warranty you purchased through Badir Company is subject to the commercial terms and conditions of the seller of that product.

You also fully understand that the seller is responsible to you in the event of their delay or refusal to fulfill their contractual obligations towards you, and that Badir Company has not and does not provide any guarantees or commitments, either express or implied, regarding the availability, quality, safety, authenticity, or completeness of the product you purchased or its reliability, marketability, performance, shelf life, or suitability for a particular purpose.

Therefore, you acknowledge and undertake to release Badir Company, its affiliates, partners, directors, employees, representatives, and agents fully and irrevocably from any claims, obligations, liabilities, demands, disputes, damages, or losses, whether present or future, related either directly or indirectly to your use of any of our services.

You also acknowledge that, except in the event that the damages or losses incurred by you are due to the fault or negligence of Badir Company or if it is proven that Badir Company did not take the necessary actions to prevent such damages or losses or to alert you of their likelihood despite being aware of them, Badir Company cannot be held liable for any damages or losses, whether physical or property-related, arising from or related to your purchase, possession, or use of any of the products displayed on the electronic platform. You acknowledge that the product manufacturer and owner is responsible to you for any defect or fault in the product, whether the defect is in manufacturing, design, or materials used in the product.

Notwithstanding the above, the aforementioned does not apply if Badir Company is the technical agent for the product within the Arab Republic of Egypt. In this case, the contractual relationship arises between you and Badir Company, and you can directly claim your rights before Badir Company in relation to any complaints you may have regarding the purchased products, without any obligation to the seller.

Governing Law and Jurisdiction:

These terms and conditions are governed by and interpreted in accordance with the laws of the Arab Republic of Egypt. Any dispute arising from or relating to these terms and conditions shall be subject to the jurisdiction of the competent courts in the Arab Republic of Egypt.
